Secretary

The board Secretary focuses on information management, marketing and communications, and recordkeeping. This is an unpaid position with a term length of two years and a limit of two terms. This role requires signing a nondisclosure agreement. Duties *Recordkeeping and meeting planning* Ensure minutes and notes are taken as needed. Prepare the official minutes of the meeting and record motions, discussions, votes, and decisions. Provide the previous meeting’s written minutes to board members before the next meeting and record any changes or corrections. Provide notice of meetings of the board and/or of a committee when such notice is required. Schedule and notify board members of upcoming meetings. Keep members notified of key dates and tasks. Information management Oversee organizational information such as membership lists, contact information, board member terms, and key deadlines. Ensure the safety and accuracy of all board records. Assure that documents (bylaws, Form-990, roster of board members) are accessible to members. Marketing and communications support Provide support with social media, email marketing, website, and other communications. Other Make informed decisions that support the growth and compliance of the organization. Assume responsibilities of the chair in the absence of the board chair and vice chair. As a member of the executive committee, vote on financial and personnel matters. Desired skills and traits Clear written communication in English Follow-through and task management Organization and detail orientation Commitment to learning and openness to technology Required of all board members Believe in and advocate for the mission of Elgin Pride. Attend the majority of Board meetings. Understand and uphold the high-level tenets of a 501(c)(3), especially the requirement not to support or denigrate a specific candidate or person when representing the organization. Fulfill the duties of care, loyalty, and obedience: Care: Take care of the nonprofit by ensuring prudent use of all assets, including materials, funds, people, and good will. Loyalty: Ensure that the nonprofit's activities and transactions are, first and foremost, advancing its mission. Recognize and disclose conflicts of interest. Make decisions that are in the best interest of the nonprofit corporation, not in the best interest of the individual board member (or any other individual or for-profit entity). Obedience: Ensure that the nonprofit obeys applicable laws and regulations, follows its own bylaws, and adheres to its stated mission. Willingness to play a major role in the planning of our annual Pride Parade and Festival. Teamwork and flexibility. A commitment to diversity, equity, inclusion, belonging, and justice. About Elgin Pride Elgin Pride is a not-for-profit corporation established to promote the wellness of Elgin-area people who self-identify as lesbian, gay, bisexual, transgender, queer, intersex, asexual, aromantic, Two-Spirit, or as a part of another marginalized group (including people with disabilities), and their allies. Mission: We are change agents cultivating celebration, education, visibility, and safe spaces to accelerate equity and inclusion for greater Elgin’s queer and marginalized communities. Elgin Pride is a registered 501(c)(3).

Treasurer

The Treasurer role focuses on financial management, bookkeeping, and reporting. This is an unpaid position with a term length of three years and a limit of two terms. This role requires signing a nondisclosure agreement. Duties Oversee all financial reports given to the Board of Directors and answer all questions asked in regards to those reports. Oversee the preparation of Elgin Pride’s yearly tax returns and report those returns to the Board of Directors. Ensure timely and accurate submission of other required financial reports. Assist Board Chair and Executive Director in preparing all organizational budgets and fiscal plans. Oversee financial audits. Make informed decisions that support the growth and compliance of the organization. Assume responsibilities of the chair in the absence of the board chair, vice chair, and secretary. Member at Large

Members at large provide year-round general support to the organization, and/or serve a major role in the planning of the annual Pride Parade and Festival. This is an unpaid position with a term length of one year and a limit of four terms. This role requires signing a nondisclosure agreement. Because members at large are not part of the executive committee, they do not vote on financial or personnel matters. Members at Large are appointed by the executive committee, not elected by the membership. Duties Manage and/or contribute to projects/programs/events/committees as assigned. Provide year-round general support to the organization, and/or serve a major role in the planning of the annual Pride Parade and Festival. Make informed decisions that support the growth and compliance of the organization. Learn about the operations of Elgin Pride and 501(c)(3)s, including potentially shadowing specific executive committee members. Desired skills and traits Responsiveness, follow-through, dependability, and accountability Commitment to learning and openness to technology Clear written and verbal communication Required of all board members Believe in and advocate for the mission of Elgin Pride. Attend the majority of Board meetings.
